NON-DISCLOSURE AGREEMENT (NDA)
This Confidentiality Agreement (“Agreement”) is entered into by and between:

Disclosing Party: Liora Wellness LLC
Receiving Party: Client engaging in services with Liora Wellness LLC who submitted Agreement Form below
Effective Date: Listed on Agreement Form once completed

1. Confidential Information

"Confidential Information" includes any non-public, sensitive, personal, or business-related information disclosed before or after this Agreement, whether oral, written, digital, or otherwise.

This includes, but is not limited to:

• Client’s personal history, emotions, or spiritual experiences

• Business ideas, branding, concepts, and strategies

• Personal or proprietary information shared by Liora Wellness LLC

• Any notes, recordings, or session content
  

2. Obligations of Receiving Party

The Receiving Party agrees:

• To hold all Confidential Information in strict confidence

• Not to disclose it to any third party without prior written consent

• Not to use the Confidential Information for any purpose other than the intended spiritual, wellness or pet care session
  

3. Exceptions

Confidential Information does not include information that:

• Is or becomes publicly known through no fault of the Receiving Party

• Is independently developed without use of Confidential Information

• Is disclosed with prior written approval

• Must be disclosed pursuant to legal obligation (with prompt notice to the Disclosing Party)
  

4. Duration

This Agreement shall remain in effect:

• Indefinitely for all trade secrets and spiritual downloads

• 5 years for all other confidential materials, unless otherwise stated
  

5. No License or Ownership Transfer

Nothing in this Agreement grants the Receiving Party ownership or licensing rights to any Confidential Information.

6. Remedies

In the event of breach, the Disclosing Party may seek injunctive relief and/or monetary damages, as allowed by law.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and the parties hereby consent to the personal jurisdiction and venue therein.

8. Entire Agreement

This is the entire agreement between the parties with respect to Confidential Information. Modifications must be in writing and signed by both parties.
